1. Introduction & Agreement to Terms

Welcome to PipeAlign™. These Terms of Service ("Terms") govern your access to and use of our website (PipeAlign.co.uk) and the purchase and use of our strategic intelligence reports, including our initial product, The PipeAlign Sector Report™ (collectively, "Reports").

By accessing our secure client site and placing an order for a Report, you, the charity ("you", "the Client"), agree to be bound by these Terms. Please read them carefully.

2. Our Service

The PipeAlign Sector Report is a detailed intelligence briefing that identifies and prioritises promising corporate prospects for your charity within a specific, client-selected UK industry sector.

  • Purpose: The Report is intended for strategic guidance and informational purposes only, designed to amplify your team's effectiveness and de-risk your fundraising strategy.

  • Service Availability: We will make commercially reasonable efforts to ensure the Service is available at all times, but we do not guarantee uninterrupted access to the website or the Service. We shall not be liable for any temporary suspension, interruption, or downtime of the website or the Service due to maintenance, security, or other operational reasons.

  • Disclaimer: Our Service and Reports are intended for strategic guidance and informational purposes only. They do not constitute professional legal, financial, tax, data protection, or fundraising advice. They are a preliminary tool to support your own strategic planning and due diligence, not to replace it. We do not guarantee the successful acquisition of any partnership or funding.

    Our Reports are based on publicly available information researched up to their generation date. You are responsible for independently verifying all information, especially time-sensitive data, before acting upon it. Furthermore, you acknowledge that in light of the new UK corporate 'failure to prevent fraud' offence, you are solely responsible for conducting your own full and proper due diligence on any potential corporate partner identified in our Reports, in line with all relevant UK laws, regulations, and Charity Commission guidance.

    The corporate, technological, and regulatory landscapes change rapidly, and information about corporate priorities, personnel, and financial data can become outdated quickly. The information in our reports is based on research conducted up to the date of their generation. Therefore, you should verify all critical information before committing significant resources to outreach.

3. Ordering & Delivery

  • Access: Our service is currently available on an invite-only basis. Access to the private client site is via a secure password.

  • Ordering: To order a Report, you must complete the secure order form on our "Order Report Page", providing accurate and complete information required for the Report's generation.

  • Delivery: The completed Report will be delivered in PDF format via a secure, password-protected link generated by our third-party provider, TransferNow, to the email address you provide. Delivery will be within the timeframe specified upon order confirmation (e.g., 5-7 working days).

4. Fees & Payment

  • Fees for the Report will be clearly quoted during the ordering process. All fees are in Pounds Sterling (GBP).

  • Our pricing model includes a standard value and an exclusive, single Founder's Rate for our invite-only programme, representing a 50% discount on the standard value.

  • Payment must be made in full via our secure third-party payment processor before we commence work on your Report.

5. Refund Policy

  • Given the bespoke, strategic, and high-value nature of the Reports, all sales are final upon delivery. Once the Report has been delivered to you via email, we do not offer refunds, partial refunds, or credits. The fee paid is for the professional service of producing the strategic intelligence contained within the Report, which, upon delivery, is considered a completed product.

6. Intellectual Property & Use of Reports

  • Our IP: The methodology, structure, analytical frameworks, and branding of the PipeAlign Sector Report are the exclusive intellectual property of PipeAlign (LearningCues Media Ltd).

  • Your Licence: Upon full payment, we grant you a non-exclusive, non-transferable licence to use the purchased Report for your charity's internal strategic and fundraising purposes only.

  • Restrictions: The Report, in whole or in part, may not be resold, republished, publicly distributed, or shared with any third party without our prior written consent. It may not be used to create a derivative commercial product or service.

7. Client Responsibilities & Due Diligence

  • Information Verification: While we strive for the highest degree of accuracy, our Reports are based on publicly available information, which can change rapidly. You are responsible for independently verifying all information before acting upon it.

  • Due Diligence: The Client is solely responsible for conducting its own full and proper due diligence on any potential partner identified in our Reports. This must be carried out in line with all relevant UK Charity Commission guidance (such as CC20 and RS2). Furthermore, the client acknowledges the new corporate 'failure to prevent fraud' offence (Economic Crime and Corporate Transparency Act 2023) and accepts that it is solely responsible for ensuring its own compliance with this and all other relevant UK laws, including by conducting its own thorough fraud prevention due diligence on any potential partners.

  • Data Protection: You are responsible for ensuring that your use of any data from the Report complies with the UK GDPR and the Data Protection Act 2018.

8. Confidentiality

In accordance with our invite-only programme, we regard your identity as a client and all information you provide to us as confidential. We will not disclose our client relationships without obtaining prior consent.

9. Limitation of Liability

  • Our Reports are provided "as is" for strategic guidance. We make no representations or warranties about the completeness or accuracy of all information within them.

  • PipeAlign (LearningCues Media Ltd) shall not be liable for any decisions, actions, losses, or damages whatsoever arising from your reliance on our Reports.

  • Our total liability to you in respect of all losses arising under or in connection with the Service shall in no circumstances exceed the fee paid by you for that Service.

10. General Provisions

  • Changes to Terms: We reserve the right to update these Terms from time to time. The "Last Updated" date at the top will indicate the latest version. Continued use of the Service after changes are posted constitutes your acceptance of the new Terms.

  • Governing Law: These Terms, and any dispute or claim arising out of them, shall be governed by and construed in accordance with the laws of England and Wales.
